These Terms of Service (“Terms”) govern access to and use of the Impulse Analyzer software platform and related services (the “Service”) provided by Impulse AI LLC (“Impulse AI,” “we,” “us,” or “our”).
By activating a license key, installing the software, or using the Service, you agree to be bound by these Terms.
Parties & Scope
These Terms apply primarily to organizations (“Customer”) that license the Service. Individual users (“Authorized Users”) access the Service on behalf of the Customer and are bound through the Customer.
Customers are responsible for ensuring their Authorized Users comply with these Terms.
Acceptance of Terms
The Terms are:
Available on our website at all times
Accepted during account creation and/or license activation
If you do not agree to these Terms, you may not use the Service.
License Grant
Subject to these Terms, Impulse AI grants Customer a limited, non-exclusive, non-transferable, revocable license to install and use Impulse Analyzer:
On one (1) server per license key
For internal business purposes only
Only for Authorized Users approved by the Customer
Solely for the Customer organization to which the license key is issued
Each license key is issued to a single Customer and may not be shared, transferred, sublicensed, or used by any other organization or legal entity. Each additional server or environment requires a separate license key.
Impulse AI reserves the right to revoke or suspend the license for violations of these Terms or the Privacy Policy.
Restrictions
Customer and Authorized Users may not:
Reverse engineer, decompile, disassemble, or modify the Service
Create derivative works based on the Service
Resell, sublicense, lease, distribute, or otherwise make the Service available to any third party
Share, disclose, or allow use of license keys by any other organization or unauthorized party
Use the Service to train, benchmark, or develop competing AI, analytics, or database-query systems
Attempt to bypass safeguards, rate limits, license enforcement, or security controls
Use the Service for unlawful, fraudulent, or malicious purposes
Submit sensitive personal data (including Social Security numbers, passwords, private keys, authentication credentials, or protected health information), unless explicitly authorized by Customer and permitted by law
Engage in excessive, abusive, or abnormal usage that degrades system integrity or availability
Impulse AI may suspend or terminate access to the Service immediately upon any violation of this section.
Customer Responsibilities
Customer is solely responsible for:
Securing its infrastructure and environment
Managing user access and approvals
Ensuring it has legal rights to all data queried or uploaded
Compliance with applicable laws and regulations (including FERPA, HIPAA, GDPR, CCPA, CPRA, and others)
Verifying accuracy of outputs before relying on them
Impulse AI does not validate customer data or outputs for correctness or compliance.
AI-Generated Outputs Disclaimer
The Service uses artificial intelligence and automated systems.
Customer acknowledges that:
AI outputs may be inaccurate, incomplete, or misleading
SQL queries and results are not guaranteed to be correct
Outputs are not legal, medical, or financial advice
All decisions made using outputs are Customer’s responsibility
Impulse AI disclaims liability for decisions, actions, or damages arising from AI outputs.
Data Ownership
Impulse AI owns the Service and all associated intellectual property
Customer owns all data submitted to or processed by the Service
Customer owns AI-generated outputs
Impulse AI may use anonymized and aggregated usage data to operate, maintain, and improve the Service.
Billing & Payments
Platform License
The Service is billed at $1,500 per month for each active license key
License fees are billed monthly and automatically renew unless terminated in accordance with these Terms
The platform license fee covers access to the Service and its core functionality
No refunds are provided for any license fees, including partially used billing periods
Usage-Based Charges
In addition to the platform license fee, Customer is billed for usage-based AI processing
Usage charges are calculated based on actual consumption
Usage billing operates on a pay-as-you-go basis
Charges may occur immediately when Customer-defined minimum balance or top-up thresholds are reached
Usage Pricing Acknowledgement
Customer acknowledges and agrees that usage-based charges are calculated based on actual AI processing consumption and are billed at the applicable third-party provider rate plus a service margin to cover infrastructure, monitoring, reliability, and operational costs.
Usage charges may fluctuate based on Customer activity. Customer is solely responsible for monitoring usage and for all charges incurred under its license key, including charges generated by Authorized Users.
By using the Service, Customer expressly agrees to this pricing model.
Payment Enforcement
Payments are processed through third-party payment processors (including Stripe)
Failed, declined, or late payments result in automatic suspension of usage
Access to the Service will remain suspended until payment is successfully processed
Customer is responsible for all activity conducted using its license key, whether authorized or unauthorized.
Suspension & Termination
Impulse AI may suspend or terminate access to the Service immediately and without prior notice if Customer or any Authorized User:
Fails to make timely payments
Poses a security or operational risk
Violates these Terms or the Privacy Policy, in whole or in part
Engages in abuse, misuse, or unauthorized use of the Service
Is required to be suspended or terminated by law or regulatory obligation
Upon suspension or termination:
All license keys issued to Customer may be revoked
Customer must uninstall the Service and cease all use
Impulse AI is not responsible for data loss, deletion, or recovery
Outstanding fees and usage charges remain due and payable
No Refunds
All fees are non-refundable, including unused license periods or usage balances.
Warranties Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
IMPULSE AI DISCLAIMS ALL WARRANTIES, INCLUDING:
MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
AVAILABILITY OR UPTIME
ACCURACY OR COMPLETENESS OF OUTPUTS
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
IMPULSE AI SHALL NOT BE LIABLE FOR ANY DAMAGES
INCLUDING INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES
INCLUDING DATA LOSS, LOST PROFITS, OR BUSINESS INTERRUPTION
CUSTOMER ASSUMES FULL RESPONSIBILITY FOR USE OF THE SERVICE AND ALL FEES INCURRED.
Indemnification
Customer agrees to indemnify and hold harmless Impulse AI from any claims arising from:
Customer data
Use or misuse of the Service
Violation of these Terms
Violation of applicable laws
Privacy
Use of the Service is subject to our Privacy Policy, which is incorporated by reference.
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between Customer and Impulse AI regarding the Service and supersede all prior or contemporaneous understandings.
Governing Law & Venue
These Terms are governed by the laws of the State of Iowa, without regard to conflict-of-laws principles.
Any disputes shall be resolved exclusively in state courts located in Iowa.
Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email notification.
Continued use of the Service constitutes acceptance of updated Terms.
